Vendor Terms

Introduction These Vendor Terms & Conditions govern the relationship between Whatsflow (“Platform”) and vendors, resellers, partners, or agencies (“Vendor”) who use the platform to provide services to their clients. By registering as a Vendor, you agree to these terms. Vendor Role Vendors are authorized to use Whatsflow to: * Manage client accounts * Run WhatsApp marketing campaigns * Provide messaging and automation services Vendors act independently and are not employees or representatives of Whatsflow. Vendor Responsibilities The Vendor agrees to: * Use the platform in compliance with all applicable laws * Ensure clients have consent before sending messages * Avoid spam, misleading, or harmful content * Maintain accurate client data and records * Follow WhatsApp (Meta) policies and guidelines Client Management * Vendors are fully responsible for their clients and activities * Any misuse by a Vendor’s client will be considered the Vendor’s responsibility * Whatsflow is not liable for Vendor-client disputes Compliance with WhatsApp Policies Vendors must strictly follow WhatsApp Business and Meta policies, including: * Opt-in requirements * Message template guidelines * Anti-spam regulations Violation may result in account suspension or permanent ban. Payments & Billing * Vendors may purchase subscriptions, credits, or plans * All payments are non-refundable unless explicitly stated * Vendors are responsible for billing their own clients * Whatsflow is not involved in Vendor-client financial transactions White Label / Reselling (If Applicable) * Vendors may resell Whatsflow services under their own brand (if permitted) * Vendors must not misrepresent ownership or claim official partnership unless approved * Branding misuse may result in termination Data & Privacy * Vendors are responsible for protecting client data * Whatsflow does not claim ownership of Vendor data * Vendors must comply with data protection laws (e.g., GDPR, IT Act India) Prohibited Activities Vendors must NOT: * Send unsolicited bulk/spam messages * Use fake or unauthorized WhatsApp numbers * Engage in illegal marketing practices * Attempt to reverse engineer or exploit the system Account Suspension & Termination Whatsflow reserves the right to: * Suspend or terminate Vendor accounts for violations * Restrict access without prior notice in serious cases * Remove any content that violates policies Limitation of Liability Whatsflow is not responsible for: * Message delivery failures * WhatsApp account bans or restrictions * Vendor business losses or client disputes Indemnification The Vendor agrees to indemnify and hold Whatsflow harmless from any claims, damages, or legal issues arising from misuse of the platform. Modifications Whatsflow may update these terms at any time. Continued use indicates acceptance of the updated terms. Governing Law These Terms shall be governed by the laws of India.
